TERMS AND CONDITIONS – PARTS SALES & ENGINE BUILDS
DEFINITIONS
1.1 “RWM”: means us – – Whitegates Garage Ltd T/A Ric Wood Motorsport. We may refer to ourselves as “us” or “we”.

1.2 “The Customer”: means you. We may refer to you as “you”.
1.3 “The Goods”: means the goods that CNC is supplying to the Customer.
TERMS OF PAYMENT
2.1 We accept credit card payment. If you are shopping from North America or anywhere else outside of the United Kingdom, place your order and your credit card company will convert the transaction to US Dollars or your own currency. You will remain liable for any conversion fees.
2.2 We accept Visa and Mastercard. We do not charge for any item until it is ready to ship. Backordered items are not charged until they are shipped. You may send your credit card information via phone, fax, post or via the website.
2.3 All invoices are payable without discount of any kind in GBP pounds sterling within 14 days of the date of the invoice and in any event prior to shipping unless on the face of the invoice another date is given. Payment is due to CNC’s address as appears on the invoice or as otherwise directed thereon. Payment at the time of collection of any Goods must be by cash or bankers draft unless otherwise agreed by us first in writing.
2.4 CNC reserves the right to charge interest on all or any part of any invoice not settled in full by the due date at the rate of 4.5% above the base lending rate (or any other rate that may have replaced or superseded the base lending rate) of our Bank and in addition shall be entitled to claim for and recover any expenses (including without limitation legal fees) incurred by us in collecting full payment due under any invoice.
2.5 All invoices carry in addition Value Added Tax (V.A.T.) at the appropriate rate from time to time in force. All sums quoted or given by us in any correspondence or communications shall be net of V.A.T. unless specifically stated to the contrary. For orders made from the UK or the European Union, 20% VAT is added. All other orders are VAT free* and you should click the exempt button to reduce VAT to zero. You retain responsibility for payment of any tax or shipping/handling charges.

SHIPPING AND HANDLING
3.1 Delivery Schedule
We will arrange to ship your order as soon as possible. We will normally send your order to you in 3-5 business days. International orders are generally received in under 14 days. All times quoted are subject to external couriers’ timescales which are beyond our control.
For all special build projects, a deposit will be required on receipt of your order. No work will be commenced until you have paid a deposit, and goods will not be despatched until the price is paid in full.
3.2 Back Orders
If your item is not in stock, we will back order for you. You will be emailed with the option to cancel your order, if you would rather not wait.
GENERAL
4.1 CNC shall have a lien on all or any of the Goods in our possession for all or any sums due to us at any time by you and we shall be entitled to use sell or dispose of such property as agents and at your expense apply the sale proceeds towards the payment of such sums on 28 days notice in writing to you. Upon our accounting to you for any balance remaining after payment of any sums due to us and the costs of sale or disposal CNC shall be discharged of any liability in respect of such property.
4.2 CNC shall retain the ownership in all parts and materials supplied to the Customer or fitted to the Customer’s vehicle by us and ownership will only transfer to the Customer upon your settling in full all financial obligations that you may have to CNC on any account whatsoever.
FORCE MAJEURE / DEADLINES
5.1 CNC shall not be liable for any failure in the performance of any of its obligations caused by factors outside of its control.
5.2 We will make our best efforts to work within the timeframe given to the Customer when the order is placed. Should matters arise that are outside our control, this may extend the timeframe and we will notify you of the same as soon as reasonably possibly. Deadlines are also subject to change if the invoice is not paid on the order date.
NOTICES
6. Any notice required to be given under the terms of the Contract shall be in writing and sent by email transmission or first class post addressed to the receiving party’s address and shall be deemed to have been given the day it is sent in the case of facsimile or e-mail and the second day after posting in the case of first-class post.
LAW AND CONSTRUCTION
7. Any legal obligations between us shall be governed by English Law and the Customer consents to the exclusive jurisdiction of the English Courts in all matters regarding the Contract except to the extent that CNC invokes the jurisdiction of the courts of any other country.
CANCELLATION
8.1 Once an Order has been accepted, you may only cancel all or part of the Order under an agreement reached with us on the below conditions for such total or partial cancellation. This does not affect your statutory rights.
8.2 Off the shelf items – A restocking fee of 20% of the order value shall be paid by the Customer. This restocking fee will be deducted from the total cost paid by you for the item before refunding the balance to your original payment method.
8.3 Special build projects cannot be cancelled once placed – On cancellation or revocation of such an Order by the Customer, the Customer shall compensate the CNC for any damages caused to the Company, including consequential damages and loss of profit to be calculated upon the date that cancellation is received. CNC shall be entitled to deduct such sums from any payment received before returning any balance to the Customer.
8.4 Please note that all “cylinder head” repairs and supplies cannot be cancelled or returned once work has been started.
8.5 Your statutory rights are not affected.
WARRANTY
9.1 In order to attempt to guarantee your satisfaction, all of our products come with a 12-month warranty subject to these conditions.
CYLINDER HEADS
9.2 Please read the following important information:-
First check your cylinder head against your old one to make sure that you have received the correct type, also please retain the box for the exchange unit to go in. [This does not apply to customers that have had their own head unit reconditioned] If there are any differences, please call us immediately, DO NOT attempt to fit the cylinder head before confirming this. Doing so will immediately invalidate any warranty or return.
MACHINING SERVICES
9.3 When any machine services are carried out by us and the engine is being built elsewhere, it is the responsibility of the third-party engine builder to check the machining quality and tolerances achieved before fitting the part. Any problem identified after the engine is built will be the responsibility of the engine builder.
ENGINE BUILDING
9.4 Race engines or engine components have no warranty given or implied due to the nature and extreme conditions involved in their use. Data loggers should be fitted to the car and turned on when the car is in use. Engines require running in, warming up and constant monitoring and support, we therefore recommend that you use adequate race support to avoid any damage being caused.
FITTING A CYLINDER HEAD
9.5.1 If your previous cylinder head failed for any reason, you must identify the root cause of your head failure. We strongly recommend a workshop manual be obtained prior to fitting.
9.5.2 Before you fit your new cylinder head you must have your radiator pressure tested and flow tested by a radiator specialist. If the report finds the radiator blocked or leaking you must have a new one fitted to validate our warranty terms, please retain the radiator report.
9.5.3 Make sure that the top of the engine block is free from old gaskets or dirt before fitting and check for flat. You must replace all gaskets and head bolts with new quality parts [diesel cylinder heads must have the correct thickness head gasket fitted]
9.5.4 Use the correct manufacturer’s torque specifications
9.5.5 Re-time the crank, camshaft and injector pump with the correct timing kit.
9.5.6 Check thermostat, all water pipes and heater matrix.
PRODUCT RETURNS
9.6.1 In the event of a product return, a 20% handling charge will occur. This handling charge will be deducted from the cost paid by you for the item before refunding the balance to you.
9.6.2 Bespoke items are not eligible for product returns unless due to the fault of CNC which must be proven.
9.6.3 Your statutory rights are not affected.
EXCHANGE UNITS
9.7.1 All of our cylinder heads are sold on an exchange basis.
Exchange costs are simple and is standard practice for many reconditioned automotive parts based on used parts. We will charge you an exchange fee in addition to the cost of the new cylinder. We will specify the fee upon receipt of your enquiry.
9.7.2 When we receive your cylinder head and it is checked and accepted, we will credit your credit card original payment method with the exchange fee. If you do not have a head to exchange, we charge you the exchange fee in addition to the cylinder head price.
9.7.3 Please contact us as soon as the exchange unit is ready for collection. We will then arrange for our carriers to collect it from you. Please make sure that you put in all the exchange parts in the box and seal it well. If we do not receive the exchange unit with all parts back after four weeks of the invoice date, you will be surcharged £350.00 plus VAT.
WARRANTIES – GENERAL
9.8 We are aware we are dealing with modified engines of various states of tune, built and maintained by people of various skill levels. We will stand by our 12-month warranty subject to these conditions. The Customer must adhere to all of the warranty conditions to validate any warranty claim : -
1] The cylinder head must be prepared and fitted by a competent tradesman using all new gaskets, head bolts and cambelts [where applicable]. Proof of this will be requested upon receipt of claim.
2] An adequate service history is presented by a competent tradesman to include:
- Oil and filter change
- Compliance of manufacturers recommended tightening torque sequences.
- Cam timing, injection and pump timing to comply with manufacturers specifications.
- The radiator must be flow checked and pressure tested at the time of fitting by an independent radiator specialist and a report issued at that time. If the report states that the radiator is blocked or leaking in any way, it must be replaced immediately. Failure to do this or present an adequate report within two days of this claim will immediately invalidate any warranty.
3] cncheads.co.uk takes no responsibility, nor does it accept any liability for repairs, transport or any other out of pocket expenses unless authorised in writing by us. We are explicitly not responsible for labour and associated parts and materials costs (gaskets, oil etc) which may be incurred in the removal and refitting of a cylinder head which may have a fault. We hereby limit our liability under this warranty to the cost of the repair or replacement of the head itself.
4] Should the head need to be returned under a warranty claim, then the Customer must contact us immediately. Under no circumstances should the cylinder head be stripped internally unless written permission is given us. This will immediately invalidate any warranty.
5] All cylinder heads carry a 12-month warranty, providing you adhere to the warranty terms and conditions above. If you do have a problem with the cylinder head supplied, we will instruct our carriers to collect the unit immediately for us to inspect. We also request that the radiator report and the gaskets used be sent with the cylinder head. The cylinder head and parts will then be put through the following tests to find the cause of the cylinder head to fail.
A] Pressure test to find any cracks
B] The valves and seats tested
C] The cylinder head will be checked for distortion
D] The valves will be checked to see if they were deck heighted efficiently
E] The camshaft will be checked
6] 90% of failed cylinder heads are caused by overheating, incorrect valves / injector timing [diesels], broken cam / timing belts, faulty leaking hoses, faulty thermostat and blocked or leaking radiators.
7] The cause of the cylinder head failure must be identified before refitting a new unit, otherwise the problem will occur again. If we find that the cylinder is faulty due to our workmanship, we will repair the fault free of charge or offer a replacement and cover all delivery charges. Cylinder heads that have failed and are not down to our workmanship will be returned to you and you will be charged a delivery and testing fee which we will confirm prior to carrying out the inspection.
TERMS AND CONDITIONS – RACING
DEFINITIONS
1.1 “RWM”: means us – Whitegates Garage Ltd T/A Ric Wood Motorsport. We may refer to ourselves as “us” or “we”.
1.2 “The Customer”: means you. We may refer to you as “you”.
1.3 “The Work”: means the work that RWM is undertaking for the Customer whether it be restoration work, servicing, repairs, race support or other services with regard to the Customer’s motor vehicle(s) or activities.
1.4 “Support Work”: means the provision of all or any of the following facilities namely the transportation of the Customer’s vehicle(s) to and from motor racing meetings or events; the provision of mechanics to service and maintain the said vehicles thereat, and any other attendant facilities or services offered to the Customer for this purpose.
ESTIMATES
2.0 Estimates by RWM unless otherwise stated in them shall be open for acceptance within 30 days of the date thereof.
TERMS OF PAYMENT
3.1 All invoices are payable without discount of any kind in pounds sterling within 14 days of the date of the invoice or at the time of collection of the Customer’s motor vehicle (whichever is the sooner) unless on the face of the invoice another date is given. Payment is due at RWM’s address as appears on the invoice or as otherwise directed thereon. Payment at the time of collection of a vehicle must be by cash or bankers draft unless otherwise agreed by us first in writing.
3.2 RWM reserves the right to charge interest on all or any part of any invoice not settled in full by the due date at the rate of 4.5% above the base lending rate (or any other rate that may have replaced or superseded the base lending rate) of our Bank and in addition shall be entitled to claim for and recover any expenses (including without limitation legal fees) incurred by us in collecting full payment due under any invoice.
3.3 All invoices carry in addition Value Added Tax (V.A.T.) at the appropriate rate from time to time in force. All sums quoted or given by us in any correspondence or communications shall be net of V.A.T. unless specifically stated to the contrary.
3.4 RWM will invoice on completion of the Work or monthly in arrears (whichever is the earlier) detailing the work conducted during the previous month. Such invoices will break down the cost of our labour, and the costs of all parts, materials and specialist services used in the Work. RWM reserves the right to add a mark up at our discretion on the cost to us of sourcing and providing such parts, materials and specialist services with regard to the Work.
3.5 We reserve the right with regard to vehicles not collected within 14 days of the Customer being advised that the Work has been completed to charge for storage at the rate of £45.00 per week unless otherwise first agreed by us in writing.
GENERAL
4.1 RWM may sub-contract all or any part of the Work if in our absolute discretion specialist services or parts are required for the purpose of completing the Work.
4.2 RWM shall have a lien on all or any of the property in our possession for all or any sums due to us at any time by you and we shall be entitled to use sell or dispose of such property as agents and at your expense apply the sale proceeds towards the payment of such sums on 28 days notice in writing to you. Upon our accounting to you for any balance remaining after payment of any sums due to us and the costs of sale or disposal RWM shall be discharged of any liability in respect of such property.
4.3 RWM shall retain the ownership in all parts and materials supplied to the Customer or fitted to the Customer’s vehicle by us and ownership will only transfer to the Customer upon your settling in full all financial obligations that you may have to RWM on any account whatsoever.
SUPPORT WORK
5.1 When RWM provides to the Customer Support Work (whether in respect of the Customer’s own vehicles or not) the following additional specific charges shall apply:
5.1.1 Labour is charged for on weekdays (except Bank and Public Holidays) on the basis of a maximum 12 hour day at our usual hourly rate for both senior and junior mechanics.
5.1.2 Labour is charged for on weekends and Bank and Public Holidays on the basis of a maximum 12 hour day at our usual hourly rate plus 50% for both senior and junior mechanics.
5.1.3 The fares for travel and the food and accommodation costs for mechanics supplied will be charged for in the same amount as the cost to RWM in providing the same.
5.1.4 The cost of transporting the Customer’s vehicle(s) will be charged at cost plus 10% incurred by RWM.
5.1.5 The cost of vehicle hire and insurance thereon and the cost of insurance for tools and personal injury to RWM’s staff will be charged for in the same amount as the cost to RWM in providing the same.
5.2 ln the event that RWM is providing Support Work to more than one customer at the same event then RWM may at its discretion apportion all or any of the costs in paragraph 5.1 that are incurred for more than one Customer at the same time as it deems appropriate.
STORAGE OF VEHICLES
6.1 Subject to prior agreement (and without prejudice to the provisions of paragraph 3.5) RWM will provide secure dry storage for Customer vehicles upon the following terms:
6.1.1 To be charged for at the rate of £40.00 per week or part of a week.
6.1.2 If the Customer does not insure the stored vehicle(s), RWM will insure the same on its own policy of insurance at such value as RWM shall in its absolute discretion deem to be appropriate and the cost of such insurance cover shall be charged at cost to the Customer on his monthly invoices.
6.2 RWM will not charge for storage when a vehicle is in the workshop for any part of a day in connection with the carrying out of any work commissioned by the Customer.
